Supplier Standards & Terms
Effective: September 25, 2026
Subscription terms version: supplier_subscription_terms_2026_10_11 (updated October 11, 2026)
1. Qualification
Suppliers must provide accurate corporate, facility, product, regulatory, safety, insurance, origin, labeling, logistics, warranty, recall, and contact records requested for each approved product and market, and must keep them current. Qualification and approval are not an endorsement, certification, or guarantee of any product.
2. Supplier representations and warranties
The supplier represents and warrants, on a continuing basis, that: it is a validly existing business with authority to sell; its products are lawful and not adulterated, misbranded, or falsely graded; labels, grade and purity declarations, and country-of-origin claims are accurate; certifications are genuine and current; images and content are owned by it or properly licensed; there are no undisclosed recalls, safety holds, or enforcement actions; and it will not change product composition, grade, factory or mine, packaging, label, claims, certifications, or storage requirements without prior written disclosure and renewed approval. Breach of these warranties is a material breach.
3. Product responsibility, quality, and recalls
The supplier remains solely responsible for defects, quality, safety, condition, returns, replacements, recall execution and costs, and regulatory cooperation, and must notify Sentrick immediately of any safety, enforcement, recall, contamination, or material conformity concern. Recall and safety obligations are further described in the Product Recall & Safety Policy.
4. Insurance requirements
Suppliers must maintain insurance appropriate to their products and risk, including commercial general liability and product liability and, where required, product-recall coverage. Minimum insurance requirements may vary by product category and risk profile, with standard supplier coverage beginning at $1,000,000 per occurrence and $2,000,000 in the aggregate, subject to higher limits (and, where applicable, umbrella/excess coverage) where Sentrick determines the product or transaction risk — based on factors such as product category, volume, jurisdiction, and claims history — warrants them. Specific limits by category are set out in Sentrick's Insurance Requirements schedule, which Sentrick may update from time to time. Suppliers must provide a current certificate of insurance on request, name Sentrick as an additional insured where required, meet any minimum insurer-rating requirement, keep coverage current, and give prior notice of cancellation or non-renewal. Sentrick may suspend listings, orders, or payouts if a supplier's insurance is not, or ceases to be, compliant.
5. Imported materials, importer of record, and trade compliance
For imported materials, the supplier must disclose in advance the importer of record and, where applicable, together with certificate of analysis / assay, country of origin, conflict-minerals (OECD / 3TG) and responsible-sourcing information, lot or heat traceability, hazardous-materials and safety-data-sheet (SDS) information where applicable, and required registrations, permits, licences, certificates, and inspection documents, and must maintain compliance continuously. Sentrick does not become the Importer of Record or U.S. Agent merely because a product appears on the platform. The supplier may not name or designate Sentrick as importer, importer of record, consignee, or U.S. agent without Sentrick's express prior written consent.
6. Content license
The supplier grants Sentrick permission to use, resize, format, translate, and distribute its approved names, images, videos, specifications, and marketing materials for authorized commercial channels, and warrants their accuracy and its right to license them.
7. Indemnification and survival
The supplier's indemnification obligations, including defense, attorneys' fees, and the matters listed in Section 8 of the Marketplace Terms, apply and survive termination. The supplier may not settle any claim in a way that admits liability of, or imposes an obligation on, Sentrick without Sentrick's prior written consent.
Changes to Subscription Fees — Suppliers and Buyers
For purposes of this clause, "Subscriber" means any supplier or buyer subscribing to services provided through the Sentrick platform.
The Company reserves the right, in its commercial discretion, to modify its monthly or annual subscription fees, including by increasing such fees, from time to time as it considers appropriate to address operational needs, service development, changes in costs, or market conditions, without obtaining the Subscriber's separate prior approval or negotiating the adjustment individually, to the extent permitted by applicable law.
The Company will notify the Subscriber of the revised fees and their effective date through the Subscriber's registered email address or an electronic notification within the Subscriber's account at least thirty (30) days before the adjustment takes effect, or such longer period as applicable law requires. Revised fees will apply beginning with the first subscription renewal occurring on or after the effective date. No adjustment will apply retroactively or alter the fees for a current subscription term already paid for.
A Subscriber who does not wish to renew at the revised fees may cancel automatic renewal before the renewal date using the Company's published cancellation procedures. If automatic renewal remains enabled, the revised fees will be charged under the Subscriber's existing valid payment authorization, unless applicable law requires additional consent.
Any price offered at registration or under a promotional offer does not constitute a commitment to maintain that price for future renewals, unless the Company expressly agrees otherwise in writing. Nothing in this clause limits any mandatory rights, notice requirements, or consent requirements under applicable law.
